G R Infraprojects has completed the sale and transfer of three wholly owned highway subsidiaries — GR Bilaspur Urga Highway, GR Ujjain Badnawar Highway, and GR Ena Kim Expressway — to Indus Infra Trust on 25th March 2026. Total consideration received is approximately Rs. 273.22 crore (Rs. 102.93 crore + Rs. 16.51 crore + Rs. 153.78 crore). Together, these three subsidiaries contributed about 22.7% of the company's consolidated income and 2.4% of consolidated net worth for FY25. GEKEPL, which was a material subsidiary, required shareholder approval via postal ballot. Indus Infra Trust is a related party but the deal is being done at arm's length and is not part of any scheme of arrangement.
The transfer frees up capital from operational highway SPVs and shifts those assets into the InvIT structure (Indus Infra Trust), which is a common monetisation move for road builders. Shareholders may see this as portfolio rationalisation, though the loss of revenue contribution could have a short-term impact on top-line numbers.
