HDFC Bank has sold 13.51 crore equity shares of its subsidiary HDB Financial Services (HDBFS) in HDBFS's IPO through an Offer for Sale route at Rs. 740 per share, generating a gross consideration of about Rs. 10,000 crore and a net cash inflow of around Rs. 9,814 crore after offer expenses. Post-sale, HDFC Bank's stake in HDBFS has come down to 74.19%, but HDBFS remains a subsidiary of the Bank. HDBFS, an upper-layer NBFC, reported FY25 revenue of Rs. 16,300 crore and net worth of Rs. 15,820 crore. The IPO allotment was completed on June 30, 2025, and HDBFS shares listed on the exchanges on July 2, 2025.
HDFC Bank monetises roughly Rs. 9,814 crore in cash from a partial stake sale while retaining controlling interest of 74.19% in HDBFS, which should boost the Bank's capital position. HDBFS's listing also gives the market a separately tradable proxy for the Bank's NBFC business, potentially affecting how HDFC Bank is valued going forward.
