Piramal Finance's board approved a scheme to merge three of its wholly-owned subsidiaries — Piramal Corporate Tower Pvt Ltd, Piramal Agastya Offices Pvt Ltd, and DHFL Investments Ltd — into itself, aimed at simplifying the group structure and strengthening the balance sheet. Since these are wholly-owned units, no new shares will be issued and there will be no change in PFL's shareholding pattern; the scheme still needs NCLT and other regulatory approvals. The board also cleared issuing Redeemable Non-Convertible Debentures on private placement basis of up to Rs 15,000 crore between April 2026 and March 2027, in one or more tranches. Separately, Mr. Gautam Bhailal Doshi stepped down as Non-Executive Independent Director citing personal reasons, with the company confirming no other material reasons for his exit. PFL reported turnover of Rs 8,413.70 crore and total assets of about Rs 1.05 lakh crore as of December 2025.
The amalgamation is internal and unlikely to affect shareholders, but the Rs 15,000 crore NCD raise signals aggressive balance sheet expansion through debt, which could boost lending capacity while adding to leverage. The exit of an independent director is routine but worth tracking for any future board-level governance changes.
