On the reaction day the stock moved 2.2 pts less than Nifty 100 and 4.0 pts less than its Agricultural Commercial & Construction Vehicles peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.

Tata Motors board approved a scheme to merge TMF Holdings, an NBFC (net worth about Rs 5,593 crore), and TMF Business Services, an operating lease arm, into Tata Motors. Both are wholly-owned subsidiaries, so no new shares will be issued and no cash consideration is paid. The move simplifies the corporate structure, cuts duplicate admin costs, and leaves Tata Motors shareholding pattern unchanged. Subject to NCLT, SEBI and other approvals.
Internal restructuring only, no change in shares, no dilution, no cash outflow. Mainly cuts duplication and costs for the parent company.
