Board Meeting Intimation

A board meeting intimation is the advance notice a listed company files with the stock exchanges saying its board of directors will meet on a given date, along with the agenda — such as approving quarterly results, recommending a dividend, or considering a fundraise or buyback.

Under SEBI's Listing Obligations and Disclosure Requirements (LODR) Regulation 29, companies must intimate exchanges a few working days before board meetings that will consider key matters like financial results, dividends, buybacks or capital raising. The intimation appears on NSE and BSE as a corporate filing, which is why you often know a results date or a 'fundraise consideration' before any numbers exist.

The agenda wording is the signal. 'To consider and approve financial results' simply confirms the results calendar. 'To consider raising of funds' or 'to consider a proposal for buyback of equity shares' tells you something new is on the table — markets frequently start pricing the possibility from the intimation itself, days before the actual decision.

After the meeting, the outcome must be disclosed quickly — board-meeting outcomes are among the fastest-deadline disclosures under LODR Regulation 30, so the decision (approved, deferred, rejected) follows as a second filing the same day.

How stocks tend to react

Intimations that only schedule results usually move prices little by themselves — the reaction comes with the numbers. But agenda items like buybacks, bonus issues or fundraising often trigger an immediate move on the intimation, because investors trade the probability of the event before the board has even met. The outcome filing then confirms or unwinds that move.
